Advertiser Agreement
Terms of ServiceAdvertiser pays no commission for buying advertisements via FXaa.
FXaa charges no additional fees for reserving, preparing and negotiating advertising campaigns for Advertisers.
Advertiser can bring/recommend new Publishers, which they want to work with using FXaa services.
Advertiser is not prohibited from working directly with Publishers if both sides choose to do so.
To reserve an advertising spot on Publisher's website, Advertiser is required to submit a request to FXaa.
Warranties
Advertiser warrants that he owns all copyrights, trademarks and other proprietary rights for all creative materials used during advertising, and doesn't infringe any third party rights including the right of publicity or privacy.
Advertiser warrants that all creative materials are in conformity with the laws and regulations of the local jurisdiction in which Advertiser operates.
Advertiser warrants that no creative materials contain harmless viruses or any other spying codes, which could cause Publishers' websites to malfunction or become unsafe to use for other visitors.
Payments and fees
When using FXaa services, Advertiser agrees to pay a negotiated total cost of an advertising campaign to FXaa.
Advertiser should bear own expenses related to payment transfer fees or commissions.
Liability
Advertiser accepts full liability and responsibility for own creative materials used in advertising campaigns.
Advertiser shall indemnify, defend and hold harmless FXaa, its directors, officers, employees and agents against any and all losses, claims, charges, liabilities, costs, damages, penalties, causes of action, including, without limitation, attorneys' fees, lawsuits, expenses of any nature, arising out of use or misuse of the Company website, its content, without limitations to accuracy of the website data, or any services provided by the Company.
Publisher Agreement
Terms of ServiceFXaa agrees to list quality websites owned and submitted by Publisher.
Publisher agrees to place an information (in any free form) on own website about selling advertisements with FXaa and link to FXaa website.
Publisher enjoys a free promotion of own websites and a free listing of own advertising inventory in front of potential Advertisers.
Publisher is required to submit and regularly update information about available advertising inventory for the websites listed with FXaa.
Publisher agrees to pay 10% commission to FXaa for sales made with FXaa help.
Publisher is not prohibited from working directly with Advertisers, if Advertisers choose to do so; and is not required to reward FXaa for sales made without FXaa help.
Publisher agrees to respond to all advertising inquiries from FXaa via email within 3 business days.
Warranties
Publisher warrants that he/she owns and has the right to use the website(s) listed with FXaa, including the content and materials contained within the website, as well as all copyrights, trademarks and other proprietary rights.
Publisher warrants that his/her website(s) doesn't violate the intellectual property rights of any third party, or infringe the laws or regulations of any governmental, regulatory, or judicial authority either local or international.
Publisher warrants according to own best beliefs that his/her website(s) doesn't receive traffic from websites that contain materials which are deemed offensive or illegal in nature.
Publisher warrants that he/she is not engaged in fraudulent website activities, and that his/her website(s) doesn't contain harmless viruses or spying systems, and is not involved in spamming by email or any other online means.
Payments and fees
Publisher pays 10% commission for each advertising inventory sold via FXaa, and covers any additional fees for transferring payments from FXaa to Publisher's account. All fees are automatically deducted from the total cost of an advertising campaign(s).
FXaa sends payments to Publishers during the last week of each advertising month, unless other terms are required by the Advertiser, which must be outlined in advance in the Advertising contract.
Publisher can instruct FXaa to hold the payment till it reaches a certain amount in order to save on transfer fees.
Liability
Publisher shall indemnify, defend and hold harmless FXaa, its directors, officers, employees and agents against any and all losses, claims, charges, liabilities, costs, damages, penalties, causes of action, including, without limitation, attorneys' fees, lawsuits, expenses of any nature, arising out of use or misuse of the Company website, its content, without limitations to accuracy of the website data, or any services provided by the Company.
Privacy Policy
CookiesFXaa doesn't use cookies to gather any personal information.
Confidentiality
FXaa web servers comply with strict industry security standards to prevent any unlawful access, change or manipulation of the website content and structure with the purpose of collecting user data.
Rights of access
FXaa doesn't disclose any private information it receives from Advertisers, Publishers or other parties with the exception when the information must be disclosed when it's legally required: on the request from governmental authorities conducting an investigation, in order to verify or enforce compliance with the policies governing the website and applicable laws or to protect against a misuse or an unauthorized use of the website.
